Our High-Technology Law Practice
We have advised clients on the full spectrum of matters relating to the high-technology industry. We have worked closely with start-ups from their establishment, through venture capital transactions, product development, joint ventures, licensing of their technology and up to their NASDAQ listing and beyond. We are able to offer technology companies a one stop shop for legal services, encompassing matters relating to U.S. and Israeli law, as well as international capital markets. Our technology clients include:

--High-technology start-ups which have raised financing and are in the process of developing their products and in such industries as copy protection systems, green technology, smart card technology, medical and dental devices, digital image processing and appliance testing.

Our Corporate Practice
We have worked closely with our transnational clients to effectively structure their legal and operating entities; their corporate governance needs and their employer-employee relationships. To that end, we have drafted shareholder, founders, partnership, share purchase, employment and termination agreements, as well as employee stock option plans.

We have counseled our clients in merger, acquisition, divestment and wind-up transactions and have led teams of lawyers in due diligence, drafting and legal compliance.

Our Commercial & Real Estate Practice
We have counseled and represented numerous companies in all manner of purchase and sale agreements both in  the U.S. and Globally. From major shopping center acquisitions to aviation contracts valued in the hundreds of millions of dollars, we provide our clients with accurate and precise legal advice, tempered by years of business acumen and experience.

Our Securities Practice
We have represented clients in various U.S. securities matters including, the drafting and filing of periodic and annual reports with the SEC; advice and counsel in Sarbanes-Oxley and corporate governance matters. Additionally, we have the capability to effect reverse merger transactions, IPOs and secondary listings.
We have advised private clients on stock transfer and employee stock option matters, including the drafting of legal opinions, representation in front of the SEC and SRO arbitration panels. We have handled securities matters for beneficial owners including legal opinions concerning black-out periods and insider trading.
